1. About These Terms
These terms describe the arrangement between you and Seri Niaga ("we", "us") when you use our website at seriniag.live or engage us for consulting services. Reading them gives you a clear picture of what each side can reasonably expect.
By accessing our website or entering into a service engagement, you agree to these terms. If anything here is unclear, please reach out before proceeding — we are happy to walk through any section with you.
2. Our Services
Seri Niaga provides business consulting to small business owners in Malaysia. Our current service offerings are:
- Foundations Review (RM 350) — A two-week review of your business operations, covering cash flow and daily routines, with a written report and one follow-up conversation.
- Growth Planning Sessions (RM 880) — Three sessions across six weeks focused on forward direction, resulting in a working plan document.
- Steady Partnership (RM 1,560 / year) — An ongoing advisory arrangement with monthly meetings, quarterly summaries, and email support over a twelve-month term.
Service scope is agreed in writing before work begins. Any changes to scope after commencement will be discussed and documented between both parties.
3. Engagements and Payments
An engagement is confirmed once we have received your completed intake form and the agreed fee, or a deposit where applicable. Payment details will be provided during the enquiry process.
Fees are quoted and invoiced in Malaysian Ringgit (RM). All prices are inclusive of applicable taxes unless stated otherwise. We do not hold card details or process recurring payments automatically without your prior written consent.
For the Steady Partnership, the annual fee covers the twelve-month term from the agreed start date. If you wish to end the arrangement early, please see Section 5 on cancellations.
4. What We Provide and What We Do Not
Our role is to offer a considered advisory perspective. We share observations, ask useful questions, and help you think through options. Decisions about your business remain yours at all times.
We do not provide legal, accounting, tax, or financial advisory services as defined under Malaysian professional regulations. Where those needs arise during our work together, we will say so and may suggest you speak with a registered practitioner.
We cannot accept responsibility for business outcomes that follow from advice taken or not taken. The value of consulting depends on many factors outside our control, including how information is applied, market conditions, and decisions made by you and your team.
5. Rescheduling and Cancellations
We understand that plans change. We ask for at least 48 hours' notice to reschedule a session. Sessions rescheduled with less notice may be treated as completed where we have made preparations that cannot be recovered.
If you wish to cancel an engagement before it begins and have paid in advance, we will refund the fee less any reasonable preparation costs already incurred, and will communicate those costs clearly before deducting them.
For the Steady Partnership, early termination by either party with 30 days' written notice is permitted. Fees paid for completed months are not refundable; fees paid for future months will be returned on a pro-rata basis.
6. Confidentiality
Information you share with us about your business is treated with care. We do not discuss client details with third parties, use your business information to advise competitors, or share materials you have provided without your permission.
We may refer to the general nature of our work together in anonymised form — for example, when describing our experience to potential clients — but we will not name you or identify your business without your written consent.
7. Intellectual Property
Documents, reports, and written materials we produce for you as part of a service engagement are yours to use for your business. We retain the right to reuse our frameworks, templates, and general methodologies in work with other clients.
Content on our website — including text, structure, and design — belongs to Seri Niaga. You are welcome to quote brief extracts with attribution, but please do not reproduce our website content in full without permission.
8. Limitation of Liability
To the extent permitted by Malaysian law, our liability arising from any service engagement is limited to the fees paid for that specific engagement.
We are not liable for indirect losses, lost revenue, lost opportunities, or decisions made based on our advisory input. This limitation reflects the nature of consulting work, where outcomes depend on many variables beyond any single conversation or document.
9. Website Use
Our website is provided for informational purposes. We make reasonable efforts to keep it accurate and up to date, but we cannot warrant that every detail is current at the time you read it. Service descriptions, pricing, and availability are subject to change.
You may not use our website in a way that disrupts its availability for others, attempts to access areas not intended for public use, or misrepresents an association with Seri Niaga.
10. Governing Law
These terms are governed by the laws of Malaysia. Any disputes will first be approached through direct, good-faith discussion between both parties. Where that does not resolve the matter, disputes are subject to the jurisdiction of the courts of Malaysia.
We would rather sort things out in conversation than through formal proceedings, and we will always make time to listen if something has not gone as expected.
11. Updates to These Terms
We may update these terms from time to time. When we do, the revised version will be posted here with an updated date. If you are in an active engagement at the time of a material change, we will notify you directly.
Continued use of our website or services after an update constitutes acceptance of the revised terms.
